1. Introduction

These terms and conditions govern your use of the services provided by Matrix Technical Services ("we", "us", "our"). By engaging our services you agree to be bound by these terms.

2. Services

Matrix Technical Services provides connectivity, managed network, EPOS, payment, and IT services to business clients. The specific scope of services for each client is defined in the relevant service agreement or statement of work.

3. Orders and Agreements

All orders are subject to acceptance by Matrix Technical Services. A binding contract is formed only upon our written confirmation. We reserve the right to decline any order without obligation to provide a reason.

4. Payment Terms

Invoices are payable within 30 days of the invoice date unless otherwise agreed in writing. We reserve the right to charge interest on overdue amounts in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

5. Limitation of Liability

To the maximum extent permitted by law, Matrix Technical Services shall not be liable for any indirect, consequential, or incidental loss arising from the use of, or inability to use, our services. Our total liability shall not exceed the fees paid by the client in the three months preceding the claim.

6. Intellectual Property

All intellectual property created by Matrix Technical Services in the provision of services remains our property unless expressly transferred in writing.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information received from the other party and not to disclose it to any third party without prior written consent.

8. Termination

Either party may terminate a service agreement by giving the notice period specified in that agreement. We may terminate immediately if you breach these terms or fail to make payment when due.

9. Governing Law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

10. Changes to These Terms

We may update these terms from time to time. Continued use of our services following notification of changes constitutes acceptance of the revised terms.
